SYNERGY DRIVE
Synergy Drive Berhad was set up in November 2006 as a special purpose company to facilitate the merger of the following listed companies:
- Golden Hope Plantations Berhad
- Guthrie Ropel Berhad
- Highlands & Lowlands Berhad
- Kumpulan Guthrie Berhad
- Mentakab Rubber Company (Malaya) Berhad
- Sime Darby Berhad
- Sime Engineering Services Berhad
- Sime UEP Properties Berhad
After the merger, Synergy Drive will become a diversified Malaysian multinational with a combined workforce of 104,300 employees and a focused set of core businesses. These core businesses are plantations, property, motor, heavy equipment and energy & utilities which are expected to benefit from continued population growth and economic development within the Asia Pacific region. Whilst the merger will create a formidable plantations player, the other divisions are expected to contribute significantly to Synergy Drive’s results based on their recent historical performance.
Synergy Drive will be the world’s largest listed oil palm plantations group by planted land area. Whilst this will make it one of the global leaders in palm oil origination, i.e. plantation and palm oil extraction, which is presently the most profitable part of the palm oil value chain, Synergy Drive will also have a significance presence in downstream palm oil activities. The Synergy Drive’s Plantations Division is a member of the Roundtable on Sustainable Palm Oil (RSPO).
The merger also provides an opportunity for Synergy Drive Berhad to be Malaysia’s leading developer of quality residential and commercial communities.
Upon its listing on Bursa Malaysia, Synergy Drive will potentially be one of the top three companies listed on Bursa Malaysia. The pro forma combined market capitalisation of Synergy Drive has grown from RM31 billion in November 2006 to over RM50 billion based on the last traded prices of the participating companies.
Permodalan Nasional Berhad (PNB) has given its undertaking to elect for shares in Synergy Drive and will emerge as its single largest shareholder.
